YMHC Online Courses Terms of Service

  1. Acceptance of Terms

By clicking “I Agree,” creating an account, registering for any course, or accessing YMHC online courses, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws. If you do not agree to these Terms, you may not access or use our services.

YMHC Charitable Foundation (“YMHC,” “we,” “our,” or “us”) is a registered Canadian charity (Registration No. 771374915RR0001) operating exclusively for charitable purposes, specifically the advancement of education and mental health literacy. All course fees support our charitable mission and community programs.

  1. Services Provided

We provide online professional development courses, training programs, and educational resources in youth mental health, suicide prevention, and related fields. Access is provided through our online learning platform at https://ymhc.ngo and its subdomains and associated digital platforms.

  1. Eligibility and Account Registration

You must be at least eighteen years old or the age of majority in your province of residence to register for our courses. You must provide accurate, current, and complete registration information and maintain the accuracy of this information. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized account use or security breaches.

Your account is personal to you and non-transferable. You may not share account credentials, allow others to access your account, or create multiple accounts. Organizations seeking multi-user access should contact us regarding institutional licensing options.

  1. Course Fees and Payment

All course fees are stated in Canadian dollars and are due at the time of registration unless alternative payment arrangements are explicitly agreed in writing. We accept payment through credit card, debit card, and other payment methods specified on our platform. By providing payment information, you authorize us to charge the stated fees to your designated payment method.

Your payment obligations are immediate and unconditional regardless of course completion, attendance, or satisfaction. Course fees are payment for services and are not tax-deductible charitable donations. We do not issue charitable donation receipts for course fees. If you wish to make a separate charitable donation to YMHC, please visit https://ymhc.ngo.

  1. No-Refund Policy

All course fees are final and non-refundable once you have accessed any course materials or after seven days from the date of registration, whichever occurs first. Digital course content cannot be returned once accessed, viewed, or downloaded.

  1. Intellectual Property Rights and Course Content

All course materials, content, information, and resources provided through YMHC online courses, including but not limited to written materials, video recordings, audio files, presentations, graphics, images, logos, trademarks, assessments, interactive tools, and software (collectively, “Course Materials”) are owned by YMHC or our licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws.

By enrolling in our courses, you receive a limited, non-exclusive, non-transferable, revocable license to access and view Course Materials solely for your personal, non-commercial educational use during your enrollment period. This license does not include any right to:

  • Copy, reproduce, duplicate, download (except where explicitly permitted), distribute, transmit, display, perform, publish, license, or create derivative works from Course Materials
  • Share, sell, rent, lease, or transfer access to Course Materials or your account
  • Record, screenshot, capture, or store Course Materials through any means including but not limited to screen recording software, photography, or any recording technology
  • Use Course Materials for commercial purposes, competitive analysis, or training programs outside of your personal professional development
  • Remove, obscure, or modify any copyright notices, trademarks, or proprietary notices
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover source code or underlying algorithms of any software
  • Use any automated means including bots, scrapers, or data mining tools to access, collect, or extract Course Materials
  • Use Course Materials to develop, train, or improve artificial intelligence models, machine learning systems, or any automated systems without explicit written permission

Student Work: You retain ownership of original work you create and submit as course assignments. By submitting work, you grant YMHC a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and distribute your work for educational, promotional, research, and administrative purposes. You represent and warrant that all submitted work is your original creation or you have obtained necessary permissions, and that your submissions do not violate any third-party rights.

Any reproduction, use, or distribution of Course Materials beyond your personal educational use requires prior written permission from YMHC. Requests should be submitted to education@ymhc.ngo. Unauthorized use of Course Materials may result in immediate termination of access, legal action, and liability for damages including statutory damages under the Copyright Act.

  1. User Conduct and Prohibited Activities

You agree to use YMHC online courses lawfully, ethically, and in accordance with these Terms. You may not:

  • Violate any applicable federal, provincial, or local laws or regulations
  • Infringe any intellectual property, privacy, publicity, or other rights of YMHC or third parties
  • Harass, threaten, intimidate, bully, stalk, or abuse any person including other students, instructors, or YMHC staff
  • Post, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, hateful, racially or ethnically discriminatory, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your credentials, affiliations, or identity
  • Post or transmit false, misleading, or fraudulent information
  • Upload or transmit viruses, malware, trojans, or other malicious code or harmful components
  • Attempt to gain unauthorized access to our systems, other user accounts, or computer networks connected to our platform
  • Interfere with, disrupt, or impose unreasonable burdens on our platform infrastructure or security features
  • Circumvent, disable, or interfere with security-related features or features that prevent unauthorized use of content
  • Collect, harvest, or scrape information about other users without their consent
  • Use our platform for commercial solicitation, advertising, or marketing without authorization
  • Engage in academic dishonesty including plagiarism, cheating, fabrication, or facilitating academic misconduct

For courses addressing mental health topics, you additionally agree not to:

  • Share graphic or detailed descriptions of self-harm, suicide methods, or content that could trigger harm to vulnerable individuals
  • Provide or request specific medical, therapeutic, or clinical advice (course content is educational, not clinical)
  • Share confidential personal information about clients, patients, or third parties
  • Post content exploiting minors or vulnerable populations

We reserve the right to investigate suspected violations, remove objectionable content, suspend or terminate accounts, and cooperate with law enforcement. You acknowledge that YMHC has no obligation to monitor user content but retains the right to do so and to remove content we determine violates these Terms or is otherwise objectionable in our sole discretion.

  1. Educational Disclaimers

Course Content: YMHC online courses provide educational information and professional development opportunities. Course content represents the views and expertise of instructors and contributors and is provided for informational and educational purposes only. YMHC makes no representations or warranties regarding the accuracy, completeness, currentness, or applicability of course content to any particular situation.

Not Professional Advice: Course content does not constitute and is not a substitute for professional medical, psychological, therapeutic, legal, or other professional advice, diagnosis, treatment, or services. You should always seek advice from qualified professionals regarding specific situations, cases, or decisions. Never disregard professional advice or delay seeking professional consultation based on information learned in YMHC courses.

Not Emergency Services: YMHC online courses are not designed for and do not provide emergency or crisis intervention services. If you or someone you know is experiencing a mental health emergency or crisis, immediately contact local emergency services (911), a crisis hotline, or present to an emergency department.

Professional Responsibility: Professionals taking YMHC courses are responsible for practicing within their scope of practice, adhering to applicable licensing requirements and professional standards, obtaining appropriate supervision when required, and using sound professional judgment in applying course content to their practice settings. YMHC courses do not constitute licensure, certification, or authorization to practice in any profession.

No Employment Guarantee: YMHC makes no representations regarding employment outcomes, salary impacts, career advancement, or professional opportunities resulting from course completion. While courses may satisfy continuing education requirements for certain professions, you are responsible for confirming acceptance with your licensing or regulatory body.

Certificates: Certificates of completion indicate only that you completed specified course requirements and do not constitute professional credentials, licenses, or endorsements of competence or expertise.

  1. Privacy and Data Protection

Your use of YMHC online courses is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

We collect personal information including contact information, payment details, demographic information, course enrollment and completion data, assessment results, learning analytics, and user-generated content. We use this information to provide educational services, process payments, communicate with you, improve our courses, conduct research, fulfill legal obligations, and further our charitable mission.

Your personal information may be disclosed to service providers including learning management system providers, payment processors, email service providers, and analytics platforms, who are contractually required to maintain confidentiality and handle data in accordance with Canadian privacy law. Some service providers are located outside Canada, and your information may be subject to the laws of those jurisdictions.

You have the right to access your personal information, request corrections, withdraw consent (where consent is the legal basis for processing), and file complaints with the Office of the Privacy Commissioner of Canada. To exercise these rights, contact our Privacy Officer at info@ymhc.ngo.

For Quebec residents, additional privacy rights apply under Quebec’s Law 25, including enhanced rights to data portability and erasure. Please see our Privacy Policy for complete details.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

“AS IS” Provision: YMHC online courses and all Course Materials are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, quality, or availability. We do not warrant that courses will be uninterrupted, error-free, secure, or free from viruses or harmful components.

Disclaimer of Liability: IN NO EVENT SHALL YMHC CHARITABLE FOUNDATION, ITS DIRECTORS, TRUSTEES, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, INSTRUCTORS, PARTNERS, FUNDERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Loss of profits, revenue, business, data, use, goodwill, or reputation
  • Business interruption or cost of substitute services
  • Personal injury, emotional distress, or psychological harm
  • Errors or omissions in course content
  • Reliance on information provided in courses
  • Results or outcomes from applying course content
  • Third-party actions or content

Liability Cap: THE TOTAL AGGREGATE LIABILITY OF YMHC FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF YMHC ONLINE COURSES SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO YMHC FOR THE SPECIFIC COURSE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Time Limitation: Any claim arising from these Terms or your use of YMHC online courses must be brought within one year after the cause of action accrues or you become aware of the facts giving rise to the claim, whichever is later. After this period, all claims are permanently barred.

Jurisdictional Limitations: Some jurisdictions do not allow exclusion or limitation of certain warranties or damages. If you reside in such a jurisdiction, some of the above exclusions or limitations may not apply to you, and you may have additional rights. These limitations and exclusions apply to the fullest extent permitted by law in your jurisdiction.

Essential Purpose: If any limitation or exclusion in this section is found unenforceable, YMHC’s total liability shall not exceed fifty Canadian dollars ($50 CAD), and this limited remedy shall be deemed to fulfill the essential purpose of this limitation of liability clause.

This limitation of liability does not exclude or limit YMHC’s liability for fraud, willful misconduct, or gross negligence where such exclusions are prohibited by law. For Quebec residents, YMHC does not exclude or limit liability for intentional or gross fault, or for bodily injury or moral damages, where such exclusions are prohibited under the Civil Code of Quebec.

  1. Indemnification

You agree to indemnify, defend, and hold harmless YMHC Charitable Foundation, its directors, trustees, officers, employees, volunteers, agents, instructors, partners, funders, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising from or related to:

  • Your use of YMHC online courses or Course Materials
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights including intellectual property, privacy, or publicity rights
  • Your user-generated content or submissions
  • Misrepresentation of facts in your registration or communications with YMHC
  • Claims by third parties arising from your application of course content in professional practice

You agree to cooperate fully with YMHC in the defense of any claim. YMHC reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

  1. Termination and Suspension

By You: You may terminate your account and stop using YMHC online courses at any time. Termination does not entitle you to refunds for any fees previously paid.

By YMHC: We reserve the right to suspend, restrict, or terminate your account and access to courses at any time, with or without notice, for any reason including but not limited to:

  • Violation of these Terms or any applicable policies
  • Suspicious, fraudulent, or illegal activity
  • Non-payment of fees or chargebacks
  • Provision of false or misleading information
  • Conduct we determine to be harmful to YMHC, other users, or third parties
  • Actions that threaten the security or integrity of our platform
  • Inactivity for extended periods
  • At our sole discretion for any reason or no reason

Effects of Termination: Upon termination or suspension: your right to access courses and Course Materials immediately ceases; you must destroy all downloaded or saved Course Materials; unpaid fees become immediately due; provisions of these Terms that by their nature should survive termination remain in effect including intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

No refunds or credits will be provided for termination or suspension due to your violation of these Terms. If we terminate your access without cause, we will provide a pro-rated refund of unused prepaid fees for the specific terminated course.

  1. Dispute Resolution and Governing Law

Informal Resolution: Before pursuing any formal legal action, we encourage you to contact us at admin@ymhc.ngo to attempt informal resolution. We commit to reviewing complaints promptly and working in good faith toward mutually acceptable solutions.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of [Ontario/British Columbia/your province] and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction: You agree that any legal action or proceeding arising from or related to these Terms or your use of YMHC online courses shall be brought exclusively in the courts of the Province of [Ontario/British Columbia/your province], and you irrevocably submit to the personal jurisdiction of such courts. You irrevocably waive any objection to venue in such courts or claim of inconvenient forum.

No Arbitration: This agreement does not include any mandatory arbitration clause or class action waiver. You retain all rights to pursue claims in court.

Quebec Residents: Notwithstanding the above, residents of Quebec are subject to the Consumer Protection Act of Quebec and the Civil Code of Quebec. Any provisions of these Terms inconsistent with mandatory provisions of Quebec consumer protection law shall be deemed modified to comply with Quebec law. Quebec residents may bring legal actions in the courts of Quebec, and disputes involving Quebec residents shall be governed by Quebec law to the extent required by statute.

  1. Modifications to Terms

YMHC reserves the right to modify, amend, or update these Terms at any time. When we make material changes to these Terms, we will:

  • Update the “Last Updated” date at the top of this document
  • Provide notice by email to the email address associated with your account at least thirty days before the effective date of changes
  • Post a prominent notice on our platform highlighting the changes
  • Provide a summary of material changes

Your continued use of YMHC online courses after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our services before the effective date. You may cancel your account and, if you do so before the effective date and the changes materially diminish your rights, you may be eligible for a pro-rated refund of unused prepaid fees at our discretion.

For material changes that significantly adversely affect your rights or substantially increase your obligations, we may require your affirmative consent through a clickwrap acknowledgment before you can continue accessing courses.

Changes to these Terms do not affect your rights with respect to courses already completed or content already accessed under the prior version of the Terms.

We recommend reviewing these Terms periodically. We maintain an archive of previous Terms versions available upon request to admin@ymhc.ngo.

  1. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional course-specific terms, constitute the entire agreement between you and YMHC regarding your use of our online courses and supersede all prior agreements, communications, and understandings, whether oral or written.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver: YMHC’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver of any provision shall be effective unless in writing and signed by an authorized YMHC representative.

Assignment: You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without YMHC’s prior written consent. YMHC may freely assign these Terms. These Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Force Majeure: YMHC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government actions, internet service failures, or power outages.

Relationship: Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchisee relationship between you and YMHC. You have no authority to bind YMHC or make representations on YMHC’s behalf.

Language: These Terms are drafted in English. If these Terms are translated into any other language, the English version shall govern and prevail in the event of any conflict or inconsistency. For Quebec residents, a French version is available upon request and both versions shall be equally authoritative.

Section Headings: Section headings are for convenience only and do not affect interpretation of these Terms.
